**PLEASE KEEP IN MIND THAT ANY PURCHASE MADE WITH THE EBELL OF LOS ANGELES WILL HAVE A CUSTOM CONTRACT CREATED AND SIGNED AT THE VENUE WITH THE FOLLOWING TERMS AND AGREEMENTS.** 1. Definitions: Agreement: This Agreement shall mean the agreement by and between The Ebell of Los Angeles and the Patron for catering services and facilities (including the Terms and Conditions) in connection with the Event. Event: The Event shall mean the function/ event, which is the subject of the agreement with The Ebell. Ebell: The Ebell shall mean The Ebell of Los Angeles. Patron: The Patron shall mean the signatory/signatories below (individual and/or collective) Space: The Space shall mean the room(s) of The Ebell, which the Patron has reserved for the Event. Attendants: Attendants shall mean the guests of Patron who will attend the event. 2. Rules and Regulations: This agreement is subject to, and the Patron agrees to fully comply with, the Rules and Regulations of The Ebell, as they may change from time to time. 3. Deadlines: The Ebell strictly enforces deadlines (see paragraphs 4, 5, 6, 8, 9, 17, 19)
4. Venue Deposit: An initial, non-refundable $5,000 venue deposit in addition to a security deposit (see paragraph 5 below) and a signed contract are required to confirm your event date. The venue deposit is applied toward the balance due. (See paragraph 6 for payment schedule.) We accept checks or wire transfers for this initial deposit. We do not accept credit cards for any deposit payments. (See paragraph 8 for cancellation policy.) 5. Security Deposit: A Security Deposit is due at contract signing in order to book the venue. These funds are held on account and are not applied toward the balance due nor to the final payment. Following the Event, the Security Deposit will be applied toward any expenses incurred above the Event Total Value , loss, or damages; a refund check will be mailed within 30 calendar days after the Event. If the Patron cancels or postpones the Event, or otherwise fails to perform under this Agreement, the Security Deposit will not be refunded or otherwise credited to the Patron, as more fully described in Paragraphs 8 & 9. Unless determined to be of a greater amount based on the details of the Event or otherwise noted above, this Security Deposit shall be in the amount of $2,000.00 for up to 300 guests. Any guests above 300 will be an additional $750 per 100 guests. 6. Payments: Unless otherwise indicated (see Paragraph 9), the Event Total Value as presented in the original signed contract minus the booking deposit, will be divided into three even separate payments. The first payment, 34%, is due thirty (30) days after contract is signed. The second payment, 33% is due halfway between the initial deposit and the event date. The third payment, 33% is due (30) days prior to the Event Date. Any additional balance beyond the original contracted total (due to agreed and documented revisions to the contract between The Ebell of Los Angles and The Patron) must be paid no less than ten (10) business days prior to the event date. Payment options include cash, check, or cashier's check. We do not accept credit cards for deposit or final payments. Final payment of any outstanding balance must be paid in full no later than ten (10) business days prior to the scheduled Event date, at the time of the guest count guarantee. Payment made within ten (10) business days of the Event date must be with guaranteed funds (cash, cashier's check, wire transfer). Final payment will reflect any changes made to the contract. If payments are not received at the designated times, the Event is subject to cancellation, (see Paragraph 8). If during the time between contract signing and the actual event sales tax percentage is increased or decreased by state or local municipality, Patron acknowledges that event final cost will be adjusted to reflect that sales tax increase or decrease on final invoice
7. Reconciliation: If there is a difference between the actual cost of the Event and the estimated cost of the Event, such difference shall be credited or charged to the Patron at the conclusion of the Event (see Paragraph 5). 8. Cancellation Prior to Event: If the Patron cancels the Event for any reason, any and all deposits that have been paid up to that point are non-refundable. These sums are not penalties but represent a reasonable endeavor by the parties hereto to estimate a fair compensation for the foreseeable losses that might result to The Ebell from cancellation by Patron. If The Ebell of Los Angeles cancels the Event due to non-compliance to any of the agreements stated in this contract, the Patron loses any and all payments made up to that point. The venue will notify Patron in writing of non-compliance to any of the clauses in the agreement and provide a reasonable timeline in which the Patron may remedy such non-compliance. 9. Condensed Production Time: Events that require booking and production time within sixty (60) days of the Event date require a non-refundable Security Deposit as stated in Paragraph 5, as well as a non-refundable 50% deposit of the contract total. Cancellation of Event forfeits all deposits as compensation of losses. Event balance is due in full no less than ten (10) business days from the Event date via secured funds (cashier's check or wire transfer). If payment is not received at the designated time, the Event is subject to cancellation (See Paragraph 8). Payment options include check, cashier's check or wire transfer . We do not accept credit cards for any deposits or final payments.
10. Room Use: Function rooms are not available prior to nor later than the times stated on this contract. Should the Event extend beyond the original agreed upon times, Patron is subject to additional labor and room rental charges. Wedding rehearsals may be scheduled with the Special Events Office no sooner than three (3) days prior to the wedding date. The Ebell reserves the right to cancel, change or modify the rehearsal date, time, or location based on availability. If a rehearsal is requested to be scheduled outside regular business operating hours (Monday through Friday from 9:00 a.m. to 5:00 p.m.) additional labor charges may apply. 11. Minimum Guarantee: The minimum guarantee ensures the contracted price per person for a guest count as low as the minimum guarantee. If your numbers go lower than this minimum, you remain responsible for the minimum guarantee guest count. If more guests attend than the final guarantee guest count, the client will be charged for the additional guests. Final guarantee guest count is due ten (10) business days prior to the Event. Once final guarantee has been submitted, the guest count guarantee cannot be decreased. If final guest count is not received, charges will be based on the initial guest count or the actual number, whichever is greater. 12. Displays, Exhibits, and Decoration: Unless otherwise agreed, all displays, exhibits, and decorations must be freestanding (i.e. unattached to walls, ceilings, floors, etc.), must comply with the rules and regulations of The Ebell, and with applicable laws, rules, ordinances, orders, directions or codes of federal, state, county, and municipal authorities. All live flame candles require a fire permit from the Los Angeles Fire Department. Use of confetti and glitter is not permitted and a $500 clean up fee will be accessed if any glitter or confetti are used during an Event. Fireworks (including sparklers), rice and birdseed are not allowed. Extensive displays, rentals, audio/visual equipment, lighting and design elements may require the installation of protective layout board for carpet runner, door frames and fixtures, the costs of such to be billed to the client. Failure by the client or client's vendors to return the room/s in the same condition as it was presented –clean, orderly and free from debris or display refuse may result in additional cleaning fees being incurred by the client or loss of the security deposit. Initial________________ The Art Salon at The Ebell of Los Angeles is an active gallery space curated by the Ebell Art Committee. The schedule and nature of the art exhibits may vary and may include an exhibition of the Ebell art collection. Scheduling of the exhibitions are based on Ebell Club activities calendar and art display requests cannot be guaranteed for Special Events. Requests to remove the art work, if approved, require advance notice and may result in handling and storage fees. 13. Receiving Entrance/ Security Office: All displays, exhibits, decorations, and equipment (including musical equipment), must be transported in and out of The Ebell through the designated receiving entrance only. Likewise, all musicians, and other individuals hired by the Patron in connection with the Event, must enter and exit The Ebell through the service entrance only. All deliveries and pick-ups must be coordinated with The Ebell in advance. The Ebell reserves the right to refuse admission of any individuals, including musicians, and other individuals hired by the Patron. 14. Indemnification:The Patron hereby agrees to indemnify, protect, defend and hold harmless The Ebell from any and all claims including claims for bodily injury or illness, actions, proceedings, damages and expenses whatsoever, including attorney's fees and court costs, arising from, relating to, or in connection with the Event. The Patron shall be responsible for any and all damages or destruction caused by the Patron's attendants, employees, agents or contractors. The Ebell is not responsible for damage or loss to any merchandise, articles, or valuables of the Patron, or the Patron's guests or attendants, located in or around The Ebell prior to, during, or subsequent to the Event. It is the responsibility of the Patron to collect all items brought in to the venue as well as items delivered to the venue. All items must be cleared at the end of the Event unless otherwise arranged in advance with the Special Events Office. The Ebell cannot guarantee the storage or the safe return of any items left on the premises. 15. Security: Security officers are required for special events at The Ebell. The number of guards, scheduled hours, and assignments are based on Ebell specifications. Additional guards or security services may be provided and customized pricing quote will be required. 16. Force Majeure: Ebell shall not be liable to Patron for any stoppage, interruption, or cancellation due to strikes, riots or other public disturbances, acts of God or of the elements, acts of public, civil, judicial, or military authorities, acts of third parties renting portions of the Clubhouse, or any other cause beyond Ebell's control. Patron shall not be liable to Ebell for failure to perform here under if such failure results from an event of force majeure. 17. Liability Insurance:Patron shall provide evidence of a commercial general liability and property damage insurance in the amount of not less than one million dollars ($1,000,000.00) per occurrence/two million dollars ($2,000,000.00) aggregate for events held at the Ebell . This general liability coverage shall include coverage for: A.Bodily Injury and Property Damage B.Products/Completed Operations C.Advertising and Personal Injury D.Medical Expense This insurance shall be provided by an insurance carrier with no less than an A VIII rating. No less than thirty (30) days prior to Patron's access to the Premises for the Event, and as an express condition precedent to Patron's duty to perform its obligations under this Agreement, Patron shall furnish a certificate thereof naming WILSHIRE EBELL THEATRE and THE EBELL OF LOS ANGELES, and its members, owners, officers, directors, agents, representatives and employees as additional insured. Failure to provide the certificate at least thirty (30) days prior to Event shall constitute an unauthorized breach of this Agreement, allowing Ebell to cancel the Event and terminate this Agreement. 18. Planners: A professional, licensed and insured event planner or event producer is required for all events that take place at The Ebell of Los Angeles. The Ebell of Los Angeles Special Events Department is responsible for specific details in regards to venue set-up, food, beverage, personnel, and any items procured on behalf of the client. It is the client's responsibility to provide an event professional to oversee the entire event and all of it's details to ensure the overall success of the event. Procuring an event professional as far in advance as possible will allow ample time to solidify and confirm details by the firm deadline of ten (10) business days prior to the event date. A professional wedding planner is required for wedding ceremonies and receptions taking place at the Venue and must be presented to The Special Events Department for approval a minimum of four to six months before event date. The Ebell of Los Angeles requires a copy and proof of the following items from the proposed planner: certificate of liability insurance, license to do business in the city of Los Angeles, workman's compensation insurance, professional website and collateral along with reviews and photos from previous clients. Once this information is received, The Ebell of Los Angeles will review. If the proposed planner is approved, a contract will be drafted and signed by all parties. This contract will include a no drinking policy and that the proposed planner must not be a family member, in the wedding party or a guest. Failure to adhere to these guidelines may result in additional production fees . 19. Event Professionals: Event Professionals, a.k.a. “vendors” contracted by Patron must submit a certificate of liability insurance and complete a Vendor Authorization Form. These items must be submitted to the Special Events Office no later than ten (10) business days prior to the commencement of the event. 20. Music Restrictions: No amplified music is allowed outside the building, in the courtyard, or any area on the outdoor property of The Ebell of Los Angeles between the hours of 10:00 p.m. and 9:00 a.m. Within the clubhouse, amplification of all music must be contained to less than 85 decibels. Violation of this sound limit may result in the termination of the non-compliant musical element and/or immediate conclusion of the event at the Patron's expense. 21.Promotional Material: Patron agrees to allow The Ebell to use Patron's name, likeness and any additional event elements in the Ebell's portfolio, website, blog, brochures, advertising materials, magazine articles, publicity and other media coverage.
